1. Introduction

Welcome to www.vagueagency.com (hereinafter referred to as the "Site"). Access to and use of the Site are governed by these Terms and Conditions (hereinafter "Terms"), which constitute a legally binding agreement between the user (hereinafter "User" or "Client") and Edoardo Ralph, owner of the agency Vague (hereinafter "Owner", "Vague" or "we").

By using the Site, accessing services, or purchasing digital products, the User declares that they have read, understood, and fully accepted these Terms. If you do not accept these conditions, you must immediately cease using the Site and not proceed with any purchase.

2. Definitions
  • Sitewww.vagueagency.com, including all of its contents, services, and products offered.

  • User/Client: Any individual or entity that accesses, uses the Site or purchases Digital Products.

  • Services: The professional activities offered by Vague, including web UX/UI, photography, fashion design, social media management, branding, and graphic design.

  • Digital Products: Framer components, templates, resources, downloadable files, and other digital assets sold via the Site, Lemon Squeezy, or Framer Marketplace.

  • License: Limited, non-exclusive, non-transferable rights granted to the User for the use of purchased Digital Products.

3. Purpose

The Site aims to:

  • present the Services offered by the Vague agency;

  • provide useful information to interested Users;

  • sell Digital Products (components, templates, and Framer resources) through third-party payment platforms (Lemon Squeezy and/or Framer Marketplace).

Any specific contracts or agreements for the provision of Services will be defined separately and governed by specific contractual conditions.

These Terms also govern the purchase, delivery, licensing, and usage limitations of Digital Products.

4. Use of the Site
4.1 Access and Conduct

The User agrees to use the Site in accordance with applicable laws and these Terms. It is expressly prohibited to:

  • use the Site for illegal or unauthorized purposes;

  • interfere with the functioning of the Site, attempt to access unauthorized data, or compromise the security of the Site;

  • disseminate harmful, offensive, defamatory, or injurious content to others' rights;

  • extract, decompile, reverse engineer, or copy the Digital Products or the source code of the Framer components offered for sale without authorization;

  • share, resell, or redistribute the Digital Products in violation of the granted License.

4.2 User Account

Some features of the Site may require the creation of an account. The User is responsible for maintaining the confidentiality of their credentials and for any activities conducted through their account.

5. Digital Products: Pre-Contractual Information

Digital Products are described on their respective product pages on the Site ("Resources" section) and/or on the sales platforms (Lemon Squeezy, Framer Marketplace).

For each product, the following information is clearly indicated:

  • main technical and functional features;

  • price (VAT included, unless otherwise stated);

  • technical requirements (e.g., Framer account, minimum required version);

  • delivery methods (download link, Framer remix link, access to a duplicable project);

  • scope and limits of the granted License.

The User is required to verify this information before proceeding with the purchase.

6. Prices, Taxes, and Currencies

All prices of Digital Products are expressed in Euros (EUR) and are understood to be VAT included, unless otherwise stated.

The application of VAT and any other sales taxes (e.g., sales tax for non-EU customers) is managed automatically by the payment system used (Lemon Squeezy or Framer Marketplace) based on the User's country of residence/billing.

The Owner reserves the right to change prices at any time, provided that the Client will be charged the price indicated at the time of the order.

7. Purchase Methods and Payments
7.1 Purchases through Lemon Squeezy

For some Digital Products, payment is processed via the Lemon Squeezy platform, which acts as merchant of record and handles:

  • securely processing the payment;

  • issuing receipts and/or invoices;

  • applying VAT and other sales taxes where due;

  • managing the distribution of the digital file (download/access link).

By completing the purchase through Lemon Squeezy, the User also agrees to the Terms of Service and Privacy Policy of Lemon Squeezy, in addition to these Terms.

7.2 Purchases through Framer Marketplace

For any Digital Products sold via Framer Marketplace, payment and access to the template/component are managed by Framer according to its own Terms of Service. By completing the purchase, the User agrees to:

  • the Terms of Service of Framer;

  • these Terms, as they relate to the license and use of the Digital Product.

7.3 Currency, Security, and Order Refusal

Payments are processed through secure third-party systems (Lemon Squeezy, Framer, etc.). The Owner never sees and does not store the complete payment card details of the User.

The Owner reserves the right to refuse or cancel orders in cases of:

  • suspicious fraudulent activity;

  • unauthorized use of discount codes;

  • the presence of obvious pricing or product description errors.

8. Delivery of Digital Products

After payment confirmation, the User receives:

  • download link for the file/component, or

  • Framer remix link or access to a duplicable project, or

  • other methods indicated on the product page.

Delivery is considered complete at the moment the download or access link is made available to the User, even if the User does not immediately download or use the content.

There are no shipping costs, as these are digital contents.

9. License for Use of Digital Products and Protection from Redistribution

IMPORTANT: The purchase of a Digital Product does NOT entail the transfer of intellectual property or source code, but exclusively grants a limited License under the terms below.

9.1 Type of License

With the purchase, the User receives a personal, non-exclusive, non-transferable, and revocable license to use the Digital Product according to the conditions outlined below.

9.2 Scope of Allowed Use

Unless otherwise stated on the product page or separate written agreement, the User may:

  • use the component/template for personal or commercial projects for which they are the owner, developer, or direct client;

  • modify, adapt, and customize the Digital Product within their projects;

  • integrate the Digital Product into websites, applications, or prototypes created for themselves or their end clients.

The License is valid for an unlimited number of projects, unless specific limits are indicated at the time of purchase (e.g., "Single Project License" or "Extended License").

9.3 Restrictions and Prohibitions (Anti-Theft and IP Protection)

It is expressly and strictly prohibited, under penalty of immediate termination of the License and legal action for copyright infringement:

  1. Resale and Redistribution

    • Reselling, redistributing, sublicensing, or transferring the Digital Product "as is" or in a substantially similar form (e.g., in component kits, marketplaces, shared libraries, public repositories).

    • Publicly sharing source files, duplicable Framer links, or other access that allows unauthorized third parties to use the Digital Product without having purchased a License.

  2. Reverse Engineering and Decompilation

    • Extracting, decompiling, disassembling, reverse engineering, or attempting to derive the source code of the Digital Product for unauthorized purposes (e.g., to create competing products or for redistribution).

    • Although Framer code is partially inspectable, any use of the code outside of the License hereby granted constitutes an infringement of intellectual property rights.

  3. Creation of Competing Products

    • Using the Digital Product, or substantial parts of it, to create, develop, or sell a competing service, kit, or product that replicates the design, structure, functionality, or logic of the original Product.

  4. White-Label and Use by Multi-User Networks

    • Using the Digital Product as part of a white-label solution, multi-tenant SaaS platforms, or networks of agencies with multiple users, without having purchased an Extended or Enterprise License (to be agreed with the Owner).

  5. Removal of Copyright Notices

    • Removing, obscuring, or altering any copyright notices, trademarks, watermarks, or other indications of intellectual property existing in the Digital Product.

9.4 Extended Licenses or Agency Licenses

For uses not covered by the standard License (e.g., resale to third parties, white-label, use by agency networks or SaaS platforms), written authorization and an Extended License must be obtained from the Owner.

10. Intellectual Property and Legal Protection
10.1 Rights over Content

All content on the Site and Digital Products (including, but not limited to: layouts, designs, code, texts, images, components, templates, graphics, animations, interactive logics) are the exclusive property of the Owner or their respective authors/licensors< and are protected by copyright, patent, trademark laws, and other regulations regarding intellectual property.> and are protected by copyright, patent, trademark laws, and other regulations regarding intellectual property.<\/p>

The User does not acquire any ownership rights but only a License to use under the terms specified in the section "License for Use".

10.2 Use of Site Content

Reproduction, distribution, modification, or unauthorized use of the Site's content is prohibited without prior written permission from the Owner.

10.3 Consequences of Violation

Any unauthorized use, violation of the License, or misappropriation of Digital Products constitutes:

  • violation of intellectual property rights under copyright law (L. 633/1941 and subsequent amendments);

  • contractual default with the Owner's right to immediately terminate the License and seek full compensation for damages;

  • possible criminal offense in the cases provided for by law.

The Owner reserves the right to take any necessary legal action (civil and/or criminal) to protect their rights, including recovery of legal fees and damages incurred.

11. Right of Withdrawal and Refunds for Digital Content

Pursuant to European and Italian regulations on digital content (Directive (EU) 2019/770 and Consumer Code, Legislative Decree 206/2005), the right of withdrawal may be limited or excluded if:

  • the execution of the contract (download/access to the digital content) has begun with the express consent of the consumer;

  • the consumer has accepted to lose the right of withdrawal once access to the digital content is obtained.

11.1 No Withdrawal After Download/Access

Once payment is completed and access to the Digital Product is obtained (download, duplication/activation of the template or Framer remix link), the Client can no longer exercise the right of withdrawal, unless the product is found to be defective, not compliant with the description, or unusable due to causes attributable to the Owner.

11.2 Refunds in Case of Technical Issues

In the event of serious technical problems that make it impossible to use the Digital Product as described, the User must contact the Owner within 14 days of purchase, providing:

  • proof of purchase (receipt/invoice);

  • detailed description of the problem;

  • any screenshots, videos, or error logs.

The Owner will first attempt to:

  • provide technical support to resolve the issue;

  • make available a corrected or updated version of the Product.

If the issue cannot be resolved in a reasonable time and is not attributable to:

  • incompatibility with unsupported configurations (e.g., outdated Framer version),

  • misuse or unauthorized modifications of the Product,

  • connectivity issues or third-party infrastructures (hosting, Framer, etc.),

partial or full refund may be granted, at the discretion of the Owner and within the limits of the refund policies of Lemon Squeezy / Framer Marketplace.

11.3 Promotional or Discounted Products

Any specific conditions for promotional or discounted products will be indicated from time to time on the product page.

12. Compliance Guarantee and Limitation of Liability
12.1 Compliance

Digital Products must conform to the description provided on the product page. The User is required to ensure that their technical environment (e.g., Framer version, browser, device) is compatible with the indicated requirements.

12.2 Exclusion of Additional Warranties

Except as provided by imperative law, Digital Products are provided "as is" without additional warranties, express or implied, of:

  • fitness for a specific undeclared purpose;

  • compatibility with configurations other than those stated;

  • total absence of bugs, errors, or interruptions (provided the functional compliance with the description given).

12.3 Limitation of Liability

To the extent permitted by Italian law, the Owner shall not be liable for:

  • indirect, consequential damages, loss of profit, loss of data, business interruption;

  • malfunctions due to third-party tools/services (e.g., Framer, Lemon Squeezy, hosting providers, payment services) beyond the Owner's control;

  • misuse, unauthorized modifications, or violations of the License by the User.

In any case, the maximum liability of the Owner, for any reason, shall not exceed the amount actually paid by the User for the Digital Product in question.

13. Purchase of Services and Specific Contracts

Any purchases of Services offered by the Vague agency (consulting, design, photography, branding, etc.) will be governed by specific contracts that define payment terms, delivery methods, and other relevant conditions.

14. Limitations of Site Liability
14.1 Availability of the Site

The Owner commits to keeping the Site operational and updated, but does not guarantee the absence of interruptions, errors, or connectivity issues.

14.2 Exclusion of Warranties

The Site and its informative content are provided "as is". The Owner provides no explicit or implicit warranties regarding the accuracy, reliability, or suitability of the content for specific purposes.

14.3 Limitation of Damages

To the extent permitted by law, the Owner shall not be liable for direct, indirect, incidental, or consequential damages arising from the use or inability to use the Site.

15. Links to Third Parties

The Site may contain links to third-party websites (including payment platforms such as Lemon Squeezy, Framer Marketplace, social media, etc.). The Owner is not responsible for the content, privacy practices, or availability of such sites, and access is at the User's own risk.

16. Changes to the Terms

The Owner reserves the right to modify these Terms at any time. Changes will be effective upon their publication on the Site.

For purchases already made, the Terms in effect on the date of the order will continue to apply, unless changes are imposed by mandatory provisions of law.

It is the User's responsibility to periodically check the updated Terms.

17. Privacy and Personal Data Processing

The collection and processing of Users' personal data (including those collected during the purchasing process) are governed by our Privacy Policy, which the User is encouraged to review.

For data collected and processed by third-party platforms (Lemon Squeezy, Framer, payment systems), reference is made to their respective Privacy Policies.

18. Applicable Law and Jurisdiction

These Terms are governed by Italian law.

  • If the User is a consumer (under the Consumer Code), any dispute will be referred to the jurisdiction of the court of the consumer's place of residence or domicile, where located within the territory of the Italian State.

  • If the User is not a consumer (B2B relationship), unless otherwise stipulated in writing, the Court of Rome shall have exclusive jurisdiction.
